      I applied through a recruiter. The process took 1 week. I interviewed at Baird in Nov 2014

      Interview

      Decent and neat premises, with rather polite and welcoming administrative personnel. The two young analysts that conducted the interview did not appear very engaged, but were professional enough to conceal it, amidst and despite their obvious anxiety to sound maturer. The interview structure did not follow an unconventional format, CV walk-through initially (with an unnecessary remark not to ramble on purposelessly), a little bit of "current occupation" info, and of course, "why Baird?". They did not seem to expect any sophistication in straight-forward questions like the aforementioned. The technical part was not a surprise, DCF to start with, followed by uninspired attempts to pick on any element of the process (definition of FCFF in my case) to find a weak spot, which, if indeed a candidate means business, wouldn't find it even remotely challenging. Finally, they went on to the actual M&A process, asking a full break-down from origination to deal closure of the procedure, and commenting or enquiring as we went along. All in all, admittedly a professional and valuable experience, perhaps with a finely balanced, if not marginally imbalanced, sense of arrogance and lack of enthusiasm arising from the interviewers, symptoms that hardly marred the experience, though.

      Is it the Working Capital of a period, or the Difference in Working Capital between periods that is subtracted from the other elements that make up the FCFF? Upon closure, are there any adjustments made on the particulars of the contract when the actual fees are to be paid from one side to the other, and if yes, which elements do they affect?
